Terms of Service

These Terms of Service govern your access to and use of the website and services provided by ModelMerge LLC (“ModelMerge,” “we,” or “us”). By using our site or engaging our services, you agree to these terms.

1. The services

ModelMerge builds and operates websites and related software for its clients, and offers ongoing improvement of those sites through human operators and automated tooling. The specific scope of any engagement (deliverables, timeline, fees, and included monthly credits) is defined in the proposal or order you accept when you start a project.

2. Fees and billing

Starting a project requires a build fee equal to two months of your subscription price, due at signup. Until your initial launch review the build fee is fully refundable under the launch guarantee below; once you approve your site at launch, it is retained. Your monthly subscription is billed in advance and begins on launch day. Credit allotments are included in the subscription; monthly credits are use-it-or-lose-it and expire at the end of each billing period. We will not exceed your budget cap without your approval; the engine pauses before crossing it. Pass-through costs, such as ad spend, are billed at cost and disclosed before they are incurred.

3. Launch guarantee

If you do not approve your site at its initial launch review, you may cancel and we will refund every payment you have made, including the full build fee. Once you approve your site at launch, the build fee is retained and monthly billing begins. The guarantee applies once per engagement, covers the period up to your initial launch approval, and is our simple promise: approve it, or it costs you nothing.

4. Approvals and ownership

Changes to a live public surface require your approval according to the autonomy settings you choose for each area.

While you subscribe, ModelMerge builds, hosts, and maintains your site on infrastructure we manage, including the source code repository, hosting, domain configuration, and deployment. You have full use of everything we build and can export your content at any time. Ownership of the source code transfers to you after twelve consecutive months of active subscription, or immediately upon payment of a buyout equal to the remaining months of that first year, at which point we hand over the repository and assist with migration. If your subscription ends before ownership vests (other than under the launch guarantee), the site and its code remain with ModelMerge and are taken offline. We retain the right to reuse general techniques, know-how, and non-client-specific components.

Until ownership vests, the source code, repositories, hosting, and deployment infrastructure are held and operated in ModelMerge-controlled accounts; that is how your agents and operator keep the site improving hands-free. Your domain name remains yours at all times; we manage its DNS while you subscribe. On vesting or buyout we transfer the repository and provide everything needed to host the site wherever you choose. Content and materials you provide always remain yours.

5. Your responsibilities

You are responsible for the accuracy of the content and materials you provide, for holding the rights to use them, and for the lawfulness of your business. You agree not to use our services to publish unlawful, infringing, or misleading content.

6. Warranties and liability

We provide our services with reasonable care and skill. Beyond that, the services are provided “as is” without further warranties. To the fullest extent permitted by law, our total liability arising out of or related to the services is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect or consequential losses.

7. Termination

You may cancel anytime; your site stays live through the end of the current billing period, then goes offline unless ownership has vested. On termination, ownership follows section 4: code you have vested in (twelve months) or bought out is yours, and we hand over the repository; otherwise the site and code remain with ModelMerge. Fees already billed for the current period are non-refundable, except under the launch guarantee or as required by law.

8. Changes to these terms

We may update these terms from time to time. If we make a material change, we will update the date above and, where appropriate, notify you directly. Continued use of the services after a change means you accept the updated terms.
